Please review before publishing. This page is a working draft prepared as a starting point. It is not legal advice. Have a qualified adviser check it against your actual practices and obligations, and replace the bracketed placeholders.
Scope of work
Each engagement is defined by a written scope and a fixed quote or estimate of hours agreed before work begins. For hourly work, we stop and seek your approval before exceeding the estimate. Changes to a fixed scope are agreed separately before work continues. Anything not in the scope is not included. [Insert entity name, jurisdiction and governing law before publishing.]
Intellectual property
On full payment, ownership of the deliverables built specifically for you transfers to you. We deliver unlocked files and commented code. We retain ownership of general methods, templates and know-how that pre-existed the engagement or are not specific to you.
Confidentiality
We treat your files and business information as confidential and will sign your NDA. We ask for anonymised or sample data where the work allows it.
What we do not provide
We are not accountants, auditors, financial advisers or lawyers. Nothing we deliver constitutes financial, accounting, tax or legal advice. Assumptions, treatments and interpretations in any model or report are yours or your advisers'. We build the mechanics; you own the judgement.
Your responsibilities
Providing accurate source data and a named contact who can answer questions and approve the scope. Reviewing deliverables before relying on them for a decision — we build checks, but the final verification is yours.
Payment
[Specify your terms: deposit, milestones, invoice period, currencies, late payment.] Indian clients are invoiced in INR with GST. We are not registered for GST or VAT outside India.
Liability
[This clause must be drafted or reviewed by a lawyer for your jurisdiction. A typical structure caps liability at fees paid for the engagement and excludes indirect and consequential loss, but the enforceable form of that varies by country and cannot be copied from a template.]
Ending an engagement
Either party may end an engagement in writing. You pay for work completed to that point and receive the work product for it.
